Welcome to metricraven.com (the "site"), owned and operated by Dual Ninja LLC ("MetricRaven", "we", "us", "our"). The terms and conditions set forth herein ("Agreement") constitute the full and complete Agreement between you ("you" or "your" or "user") and MetricRaven. Your agreement to be bound by these terms and conditions ("terms") and our Privacy Policy is expressly acknowledged by any use of the site. The terms contained herein supersede and replace any other Agreement or negotiation between you and MetricRaven whether oral, written or otherwise including any statements made by any representative of MetricRaven at any time.

We, MetricRaven, reserve the right to review and amend any of these Terms of Service at our sole discretion. Upon doing so, we will update this page. Any changes to these Terms of Service will take effect immediately from the date of publication.

The Service

MetricRaven provides web analytics software, including a tracking script, APIs, dashboards, share/embed links, and related features (the "Service"). You may use the Service to measure traffic, goals, funnels, revenue attribution, search data, crawlers, and other metrics on websites you own or are authorized to monitor ("Customer Sites").

Limitations of Use

By using this website, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

  • modify, copy, prepare derivative works of, decompile, or reverse engineer any materials and software contained on this website;
  • remove any copyright or other proprietary notations from any materials and software on this website;
  • transfer the materials to another person or "mirror" the materials on any other server;
  • knowingly or negligently use this website or any of its associated services in a way that abuses or disrupts our networks or any other service MetricRaven provides;
  • use this website or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;
  • use this website or its associated services in violation of any applicable laws or regulations;
  • use this website in conjunction with sending unauthorized advertising or spam;
  • harvest, collect, or gather user data without the user's consent; or
  • use this website or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.
  • use the Service on websites you do not own or are not authorized to monitor, or collect sensitive personal data through the Service without a lawful basis and appropriate safeguards.

Intellectual Property

The site and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by MetricRaven, its licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.

The MetricRaven name, the MetricRaven logo and all related names, logos, product and service names, designs and slogans are trademarks of MetricRaven or its affiliates or licensors. You must not use such marks without the prior written permission of MetricRaven. All other names, logos, product and service names, designs and slogans on the site are the trademarks of their respective owners and are either used with permission and/or for identification purposes and are not intended to suggest any affiliation.

These terms permit you to use the site for your personal or internal business use in connection with the Service. You are granted a non-exclusive, non-transferable, fully revocable license to access and use the site and Service for lawful purposes related to Customer Sites you are authorized to monitor. You may not copy or "scrape" the system for any data including but not limited to names, addresses or any other information of any other user. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Site, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your web browser for display enhancement purposes.
  • You may print or download one copy of a reasonable number of pages of the site for your own personal, non-commercial use and not for further reproduction, publication or distribution.
  • If we provide desktop, mobile or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.
  • If we provide social media features with certain content, you may take such actions as are enabled by such features.
  • You may create a hyperlink to the site, so long as the link does not portray MetricRaven, its employees, or its affiliates in a false, misleading, derogatory, or otherwise offensive matter.
  • You may install our tracking script and call our APIs on Customer Sites in accordance with our documentation and your plan limits.

You must not:

  • Modify copies of any materials from the Site.
  • Use any illustrations, photographs, video or audio sequences or any graphics separately from the MetricRaven text.
  • Delete or alter any copyright, trademark or other proprietary rights notices from copies of materials from the site.
  • Use any data mining, robots, spiders, or similar data gathering and extraction tools for any purpose against our site or other customers' data.

Unless expressly permitted by MetricRaven, you must not access or use for any commercial purposes any part of the site or any services or materials available through the site beyond the license granted above.

If you print, copy, modify, download or otherwise use or provide any other person with access to any part of the site in breach of the terms, your right to use the site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title or interest in or to the site or any content on the site is transferred to you, and all rights not expressly granted are reserved by MetricRaven. Any use of the site not expressly permitted by these terms is a breach of these terms and may violate copyright, trademark and other laws.

Your data and Customer Sites

You retain ownership of data you submit to the Service and analytics data collected from your Customer Sites. You grant us a non-exclusive, worldwide license to host, process, transmit, and display that data solely to provide and improve the Service. You represent that you have a lawful basis to collect and send such data to MetricRaven, and that you will provide required notices and obtain consent from end users where applicable.

We process Customer Site analytics data as a processor on your instructions, as further described in our Privacy Policy.

User-Generated Content

You retain your intellectual property ownership rights over content you submit to us (for example site names, configuration, and materials you upload). We will never claim ownership of your content, but we do require a license from you in order to use it.

When you use our website or its associated services to post, upload, share, or otherwise transmit content covered by intellectual property rights, you grant to us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to use, distribute, modify, run, copy, publicly display, translate, or otherwise create derivative works of your content in a manner that is consistent with your privacy preferences and our Privacy Policy.

The license you grant us can be terminated at any time by deleting your content or account, subject to copies retained in backups for a limited period and records we must keep by law. You give us permission to use your username and other identifying information associated with your account in a manner that is consistent with your privacy preferences and our Privacy Policy.

Subscriptions and billing

MetricRaven may offer paid subscription plans (for example monthly or annual plans, and any other tiers we publish on the site) that unlock higher limits, additional features, or continued access to the Service. Free or trial access, if offered, may be limited in features, volume, or duration. Plan names, prices, included usage (such as events, sites, or retention), and feature sets are described at checkout or on our pricing pages and may change from time to time.

Recurring plans renew automatically at the then-current price until you cancel. Cancellation takes effect at the end of the current billing period; you retain access until then. Payments are processed by Stripe as merchant of record. Subscription payments are non-refundable through MetricRaven except where required by law; you may cancel renewing plans at any time via the Stripe customer billing portal or account settings we provide (access continues until the end of the current period). Cardholder chargebacks are handled under your card network's dispute process.

By starting a paid subscription you authorize Stripe to charge your payment method for the initial term and for renewals until cancelled. Failed payments may result in suspension or downgrade of your account until payment succeeds. Taxes may be added where applicable. We may change prices with notice; the new price applies on the next renewal after the notice period stated at the time of the change (or as required by law).

Accounts and API keys

You must provide accurate account information and keep your credentials secure. You are responsible for all activity under your account and any secret API keys we issue. Do not share secret keys in public client-side code. You must be at least 16 years old (or the age of digital consent in your jurisdiction) to create an account.

Liability

Our website and the materials on our website are provided on an 'as is' basis. To the extent permitted by law, MetricRaven makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property, or other violation of rights.

In no event shall MetricRaven or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use this website or the materials on this website, even if MetricRaven or an authorized representative has been notified, orally or in writing, of the possibility of such damage.

In the context of this agreement, "consequential loss" includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity or otherwise.

Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

To the fullest extent permitted by law, MetricRaven's total liability for any claim arising out of these terms or the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months before the claim or (b) one hundred U.S. dollars (US $100).

Accuracy of Materials

The materials appearing on our website are not comprehensive and are for general information purposes only. MetricRaven does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on this website, or otherwise relating to such materials or on any resources linked to this website. Analytics metrics may be incomplete due to browsers, blockers, network issues, or your configuration.

MetricRaven has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval or control by MetricRaven of the site. Use of any such linked site is at your own risk and we strongly advise you make your own investigations with respect to the suitability of those sites.

Right to Terminate

We may suspend or terminate your right to use our website and terminate these Terms of Service immediately upon written notice to you for any breach of these Terms of Service, non-payment, or abuse of the Service.

Severance

Any term of these Terms of Service which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Service is not affected.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of United States. You irrevocably submit to the exclusive jurisdiction of the courts in that State or location.
